In its current version, the German Corporate Governance Codex does not deal with conflicts existing within the stock corporation. In fact, the Codex all but ignores such conflicts - a status that must be regarded as highly unsatisfactory. Despite various reservations, inter- and intraorgan complaints are adequate means of resolving conflicts between the organs of the stock corporation, thus improving corporate governance. This study demonstrates that there are no valid objections, neither for dogmatic nor for practical reasons, against allowing such inter- and intraorgan complaints.
