Principles and Lessons Learned from the Failed CESL« The proposal for a regulation on a Common European Sales Law (CESL) provided for the first time provisions on the control of contract terms in business-to-business contracts. These provisions will be analyzed in light of the recognized aims for such control of contract terms. The author examines to what extent the proposal can serve as a model either for another EU initiative or for the ongoing discussion on the reform of the German control of general terms in business-to-business contracts.
